These Terms and Conditions govern all sales transactions and commercial relationships between SANETIS EU SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ, with its registered office at ul. Plac Wspólnoty 1, 32-085 Szyce, Poland, KRS 0001230157, NIP 5130310397, hereinafter referred to as “Sanetis” or “the Seller”, and its business clients, hereinafter referred to as “the Buyer”.
By placing an order with Sanetis, the Buyer confirms acceptance of these Terms and Conditions in their entirety. These Terms and Conditions apply exclusively to transactions between businesses (B2B). Sanetis does not sell to consumers within the meaning of applicable consumer protection legislation.
1. General Provisions
These Terms and Conditions constitute the entire agreement between Sanetis and the Buyer with respect to the sale of goods, unless a separate written contract has been concluded between the parties. In the event of a conflict between these Terms and Conditions and any individual contract, the terms of the individual contract shall prevail.
Sanetis reserves the right to amend these Terms and Conditions at any time. The version in force at the time of placing an order shall apply to that order. Buyers are encouraged to review the current version prior to placing each order.
2. Orders & Order Confirmation
Orders may be placed by email, through the website, or by any other method agreed between the parties. An order submitted by the Buyer constitutes an offer to purchase and does not become binding until confirmed in writing by Sanetis.
Sanetis reserves the right to decline any order without providing a reason, including orders from buyers who have outstanding overdue payments or with whom Sanetis has previously had unresolved commercial disputes.
Order confirmations issued by Sanetis are binding and constitute acceptance of the Buyer’s offer. Any discrepancies between the order and the confirmation must be reported by the Buyer within 24 hours of receipt. Failure to do so constitutes acceptance of the confirmation as issued.
3. Pricing & Payment
All prices are quoted exclusive of VAT unless otherwise stated. The applicable VAT rate is determined in accordance with Polish tax law and relevant EU regulations at the time of invoicing.
Prices quoted in offers and catalogues are indicative and subject to change without notice. The price applicable to a specific transaction is the price confirmed in the order confirmation.
Payment is due within 14 calendar days of the invoice date, unless otherwise agreed in writing. Payment is considered received on the date the full invoiced amount is credited to Sanetis bank account.
In the event of late payment, Sanetis reserves the right to charge statutory interest on overdue amounts in accordance with Polish law, suspend fulfilment of pending orders, and withdraw any individually agreed credit terms or discounts with immediate effect.
4. Delivery
Sanetis delivers goods across Poland and to EU member states. Delivery to destinations outside the European Union is available upon individual agreement.
Delivery timelines are indicative and provided in good faith. Sanetis is not liable for delays caused by third-party logistics providers, customs procedures, force majeure events, or circumstances beyond Sanetis reasonable control.
Risk of loss and damage passes to the Buyer upon handover of the goods to the carrier. The Buyer is responsible for inspecting the delivery upon receipt. Visible damage to packaging or goods must be noted on the carrier’s delivery document at the time of receipt and reported to Sanetis within 48 hours.
Unless otherwise agreed, delivery costs are borne by the Buyer and will be indicated in the order confirmation or invoice. Free shipping thresholds are set out in Sanetis Shipping & Payment page.
5. Title & Ownership
Title to the goods remains with Sanetis until full payment of the invoiced amount has been received. Until title passes, the Buyer must store the goods separately, keep them identifiable as Sanetis property, and not dispose of, pledge, or encumber them in any way.
In the event of non-payment, Sanetis reserves the right to reclaim the goods and the Buyer undertakes to cooperate fully with any such reclamation.
6. Product Information
Product descriptions, technical specifications, and images provided on the Sanetis website and in catalogues are intended for informational purposes only and are based on information provided by manufacturers. Sanetis makes every effort to ensure accuracy but does not guarantee that all information is complete, current, or free of error.
Sanetis reserves the right to substitute a product with an equivalent alternative where the ordered product is unavailable, subject to prior notification and the Buyer’s written consent.
7. Returns & Refunds
Returns and refunds are governed by Sanetis Returns & Refunds Policy, which forms an integral part of these Terms and Conditions.
8. Warranty
All products are covered by Sanetis Warranty Terms & Conditions, which form an integral part of these Terms and Conditions.
9. Limitation of Liability
Sanetis total liability to the Buyer in connection with any order shall not exceed the value of the goods supplied under that order. Sanetis is not liable for any indirect, consequential, or economic loss, including but not limited to lost profits, loss of contracts, operational downtime, or reputational damage.
Nothing in these Terms and Conditions limits Sanetis liability for death or personal injury caused by negligence, or for damage caused by wilful misconduct or fraud.
10. Force Majeure
Sanetis shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, government actions, strikes, supply chain disruptions, or transport failures. In such circumstances, Sanetis will notify the Buyer promptly and make reasonable efforts to resume performance as soon as practicable.
11. Confidentiality
The Buyer agrees to treat as confidential any pricing, discount structures, or commercial terms communicated by Sanetis that are not publicly available, and not to disclose such information to third parties without Sanetis prior written consent.
12. Data Protection
Personal data of the Buyer’s representatives collected in connection with orders and commercial correspondence is processed by Sanetis in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR). 13. Governing Law & Dispute Resolution
These Terms and Conditions are governed by the laws of the Republic of Poland. The parties shall make reasonable efforts to resolve any disputes arising from these Terms and Conditions amicably. If no resolution is reached within 30 days of written notification of a dispute, the matter shall be referred to the competent court in Kraków, Poland.
14. Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect.
